Introduction

These Terms of Service (“Terms”) govern your access to and use of the website, portal, content, applications, and services (collectively, the “Services”) provided by Engineered Tax Services, Inc. (“ETS,” “we,” “us,” or “our”).

Please read these Terms carefully before using our Services. By accessing or using our Services, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you must not access or use our Services.

Eligibility

Our Services are intended for users who are at least 18 years old and are either representing themselves or a business entity with the legal authority to enter into binding agreements. By using our Services, you represent and warrant that you meet these eligibility requirements.

Account Registration

Some portions of our Services require you to create an account. When you register for an account, you agree to:

• Provide accurate, current, and complete information
• Maintain and promptly update your account information
• Maintain the security of your account credentials
• Accept responsibility for all activities that occur under your account
• Promptly notify us of any unauthorized access to or use of your account

We reserve the right to disable any user account at any time if, in our opinion, you have failed to comply with these Terms or if we suspect unauthorized or fraudulent use.

Service Description

ETS provides specialty tax services including cost segregation, R&D Tax Credits, 179D, and 45L. Our Services include educational information, case studies, blog posts, videos, and other resources related to these areas. We also offer a portal for potential clients and customers for information delivery, payment processing, and service delivery.

Additionally, we may promote commercial insurance services offered by our sister company. Any engagement with our sister company's services will be subject to their own terms and conditions.

Professional Services Agreement

Our tax services are governed by a separate Professional Services Agreement, which will be provided to you before any engagement begins. The Professional Services Agreement will outline specific details regarding the scope of services, fees, responsibilities, and other important terms related to the tax services we provide.

In the event of any conflict between these Terms and a Professional Services Agreement, the Professional Services Agreement shall govern with respect to the services covered by that agreement.

User Content

Our Services may allow you to upload, submit, store, send, or receive content (“User Content”). You retain all rights to your User Content, but you grant ETS a worldwide, royalty-free, non-exclusive license to use, reproduce, modify, adapt, publish, translate, and distribute your User Content in connection with providing and improving our Services.

You represent and warrant that:

• You own or have the necessary rights to your User Content
• Your User Content does not infringe or violate the rights of any third party
• Your User Content complies with these Terms and all applicable laws and regulations

We reserve the right to remove any User Content that violates these Terms or that we find objectionable for any reason, without prior notice.

Prohibited Uses

You agree not to use our Services:

• In any way that violates any applicable law or regulation
• To transmit any material that is defamatory, obscene, or offensive
• To infringe upon or violate the intellectual property rights of others
• To send unsolicited promotional or advertising material
• To attempt to gain unauthorized access to any portion of our Services
• To interfere with, disrupt, or create an undue burden on our Services
• To impersonate or attempt to impersonate ETS, an ETS employee, or another user
• To engage in any conduct that restricts or inhibits anyone's use of our Services

Intellectual Property Rights

Our Services and their entire contents, features, and functionality (including but not limited to all information, software, text, displays, images, video, and audio, and the design, selection, and arrangement thereof) are owned by ETS, its licensors, or other providers and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

These Terms permit you to use our Services for your personal, non-commercial use only. You must not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any material from our Services, except as follows:

• Your computer may temporarily store copies in RAM incidental to your accessing and viewing those materials
• You may store files that are automatically cached by your web browser for display enhancement purposes
• You may print or download one copy of a reasonable number of pages for your own personal, non-commercial use and not for further reproduction, publication, or distribution
• If we provide social media features with certain content, you may take such actions as are enabled by such features

Disclaimer of Warranties

YOUR USE OF OUR SERVICES IS AT YOUR SOLE RISK. OUR SERVICES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS, WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. NEITHER ETS NOR ANY PERSON ASSOCIATED WITH ETS MAKES ANY WARRANTY OR REPRESENTATION WITH RESPECT TO THE COMPLETENESS, SECURITY, RELIABILITY, QUALITY, ACCURACY, OR AVAILABILITY OF THE SERVICES.

THE FOREGOING DOES NOT AFFECT ANY WARRANTIES THAT CANNOT BE EXCLUDED OR LIMITED UNDER APPLICABLE LAW.

Limitation of Liability

TO THE FULLEST EXTENT PROVIDED BY LAW, IN NO EVENT WILL ETS, ITS AFFILIATES, OR THEIR LICENSORS, SERVICE PROVIDERS, EMPLOYEES, AGENTS, OFFICERS, OR DIRECTORS BE LIABLE FOR DAMAGES OF ANY KIND, UNDER ANY LEGAL THEORY, ARISING OUT OF OR IN CONNECTION WITH YOUR USE, OR INABILITY TO USE, OUR SERVICES, INCLUDING ANY DIRECT, INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES.

THE FOREGOING DOES NOT AFFECT ANY LIABILITY THAT CANNOT BE EXCLUDED OR LIMITED UNDER APPLICABLE LAW.

Indemnification

You agree to defend, indemnify, and hold harmless ETS, its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the Services.

Termination

We may terminate or suspend your access to our Services immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach these Terms. Upon termination, your right to use our Services will immediately cease.

Governing Law and Jurisdiction

These Terms and any dispute or claim arising out of or in connection with them shall be governed by and construed in accordance with the laws of the State of Florida, without giving effect to any choice or conflict of law provision or rule. Any legal suit, action, or proceeding arising out of or related to these Terms or the Services shall be instituted exclusively in the federal courts of the United States or the courts of the State of Florida, in each case located in Palm Beach County.

Changes to Terms

We may revise and update these Terms from time to time at our sole discretion. All changes are effective immediately when we post them. Your continued use of our Services following the posting of revised Terms means that you accept and agree to the changes.

Entire Agreement

These Terms, our Privacy Policy, and, if applicable, any Professional Services Agreement constitute the sole and entire agreement between you and ETS regarding the Services and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral, regarding the Services.

Text Messaging Privacy Policy

We respect your privacy. Information you provide through this service is used solely to transmit your mobile messages and respond to you. This may include sharing information with platform providers, phone companies, and other vendors who assist in delivering mobile messages.

• No Marketing Use: Mobile information will not be shared with third parties or affiliates for marketing purposes.
• Opt-In Data: Text messaging originator opt-in data and consent will never be shared with any third parties.
• Legal Disclosure: We reserve the right to disclose information as required by law, regulation, or governmental request, to avoid liability, or to protect our rights or property.

This Text Messaging Privacy Policy applies only to your use of the Text Message Service and does not modify our general Privacy Policy, which governs other aspects of your relationship with us.

Costs of Text Messages

We do not charge you for messages sent or received via this service. However, message and data rates may apply based on your wireless or other applicable provider’s plan.

Frequency of Text Messages

This service is intended for conversational, person-to-person communication between you and our employees. You may receive an initial message with service details. After that, the number of messages will vary depending on your interactions and requests (e.g., sending a HELP request).

Types of Text Messages

Messages may include:

• Direct, personalized conversational messages
• Informational updates
• Support responses

Opting Out

To stop receiving messages, reply to any message with one of the following: STOP, QUIT, END, REVOKE, OPT OUT, CANCEL, or UNSUBSCRIBE.

Opt-out requests apply to each conversation with an employee and their associated phone number. After unsubscribing, you may receive a confirmation message.
